Introduction
This disclosure and disclaimer applies to all applicants and users of the Umia Platform (the “Platform”) who submit, continue, or otherwise participate in any project application or launch workflow, whether through a Curated Launch or a Community Launch (each, a “Launch”). This disclosure is provided for transparency and to help you understand how scoring, screening, and selection may occur on the Platform. It does not replace the Umia Terms of Service, any written terms provided to you, or any separate agreements you may enter into with Umia.
The Platform currently offers two primary Launch paths:
- Curated Launch: Projects are vetted through a review process conducted by the Umia team and are generally intended for projects with an existing venture seeking to scale further.
- Community Launch: Projects may apply through the Umia CLI and may be selected through a community-led decision market or other community process.
In either path, selection, ranking, admission, rejection, prioritization, or continued eligibility (each, a “Decision”) could involve multiple inputs, including (i) algorithmic scoring, (ii) human review, (iii) community decision markets, or (iv) other requirements or conditions communicated to you.
Algorithmic Scoring Is an Estimate, Not a Guarantee
The Platform might use one or more automated scoring or screening systems (the “Algorithm”) to generate outputs such as scores, rankings, classifications, recommendations, or eligibility signals (each, an “Algorithm Output”). Each Algorithm Output:
- is only an estimate based on the information available at the time it is produced;
- is not a guarantee of acceptance, selection, funding, community support, launch success, or any other outcome;
- could be incomplete, incorrect, misleading, or outdated; and
- could change over time, including as a result of updates to inputs, models, training, weights, thresholds, rules, or evaluation criteria.
You should not rely on any Algorithm Output as a promise of future treatment or results.
Algorithm Criteria, Weightings, and Training
The Algorithm might use defined inputs intended to represent factors such as project uniqueness, founder information, signals of community interest, and other metrics. The Algorithm could be or could utilize a machine-learning system, which means:
- the Algorithm could be fine-tuned or otherwise updated over time;
- the training process could use pre-identified examples (including examples labeled as “high quality” or otherwise) that may be revised; and
- Umia might revise the Algorithm’s criteria, weighting, and evaluation methodology at any time.
Accordingly, a project might receive different outputs at different times even if the project itself has not changed.
Inputs Could Be Inaccurate
Algorithm Outputs depend on inputs and signals that can be incomplete or unreliable. For example, inputs could include information provided by you, publicly available information, third-party data, or platform activity signals that might be noisy or subject to manipulation.
You are responsible for the accuracy and completeness of information you provide. Umia does not guarantee that any input is verified, current, or correct.
Community Launch Decision Markets Have Distinct Risks
If a Decision involves a community-led decision market or other community selection mechanism, you acknowledge and accept that:
- market outcomes can be affected by participant behavior, incentives, and strategy;
- outcomes could be volatile, reflect limited information, or be driven by short-term dynamics;
- markets and voting systems could be subject to manipulation, collusion, sybil activity, misinformation, or other distortive conduct; and
- a community outcome does not mean Umia endorses, verifies, or approves the project.
Umia does not guarantee that community mechanisms will be fair, representative, or resistant to coordinated activity.
Additional Conditions, Gating, or Human Review
Any Algorithm Output or community outcome might be subject to additional requirements, including (without limitation):
- eligibility criteria;
- technical, security, legal, regulatory, sanctions, or compliance checks;
- anti-fraud, anti-manipulation, or identity controls;
- quality, completeness, or disclosure requirements;
- jurisdictional restrictions; and
- any other conditions communicated to you in writing (including via platform notices or emails).
Umia could also use human review at any stage, including to confirm, override, revise, or decline a Decision.
No Obligation to Accept, List, Host, or Continue Supporting Any Project
Participation in the Platform does not create any right to be selected or launched. Umia may, in its discretion:
- accept or reject any application;
- remove, suspend, or deprioritize any project;
- change Launch paths, processes, criteria, or timelines;
- discontinue any feature or workflow; or
- require re-application or additional verification.
No Professional Advice; Do Your Own Diligence
Algorithm Outputs, community outcomes, and Umia communications are provided for informational purposes only and do not constitute legal, regulatory, tax, accounting, investment, technical, or other professional advice. You are responsible for conducting your own diligence and for obtaining advice from qualified professionals.
Bias, Errors, and Unintended Consequences
Automated systems can produce biased or unfair results depending on data, features, labels, proxy variables, or market behaviors. Even when designed to improve consistency, the Algorithm could:
- overvalue or undervalue certain signals;
- disadvantage projects due to incomplete information or noisy indicators;
- exhibit drift as ecosystems evolve;
- reflect unintended correlations; or
- produce outcomes that appear inconsistent.
Umia does not warrant that any Algorithm Output is unbiased, error-free, or appropriate for your particular circumstances.
Confidentiality and Non-Public Information
Unless and until Umia publicly discloses information, you must treat as confidential any non-public information you receive or infer in connection with your application and the Platform’s decisioning processes, including (as applicable):
- scoring or ranking outputs;
- selection status, timelines, or feedback;
- evaluation criteria not publicly published;
- the existence or contents of any notices, materials, or communications related to project review, Launch participation, or future funding/launch events; and
- information about other applicants or projects that is not publicly released.
You may share confidential information only with your professional advisors who have a need to know and are bound by confidentiality obligations, or as required by law.
Proprietary Systems; No Reverse Engineering or Circumvention
The Algorithm and related tooling are proprietary or consist of proprietary components. You agree not to:
- reverse engineer, probe, scrape, or attempt to discover the weighting, thresholds, training data, or decision logic;
- create or use methods intended to manipulate inputs or outcomes (including sybil behavior, botting, artificial engagement, or coordinated market distortion); or
- circumvent eligibility checks, controls, or security measures.
Umia may take action, including suspension or rejection, if it reasonably believes manipulation or circumvention has occurred.
Limitation of Responsibility; Use at Your Own Risk
To the maximum extent permitted by law:
- Algorithm Outputs and community outcomes are provided “as is” and “as available,” without warranties of any kind;
- Umia is not responsible for your reliance on any Algorithm Output, ranking, recommendation, or community result; and
- Umia is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost opportunities, reputational harm, or loss of data, arising from or relating to Algorithm Outputs or Decisions.
Nothing in this disclosure limits liability to the extent it cannot be limited under applicable law.
Changes to This Disclosure
Umia may update this disclosure from time to time. The then-current version posted on the Platform governs. If you continue an application after an update becomes effective, you are confirming your acceptance of the updated disclosure.
